        <h1>Terms of Use</h1>

        <p className="body">IndieVertical (the "Service" or "Site"), available at indievertical.com, is operated by Alkotech Labs ("Alkotech Labs", "we", "us" or "our"), a company established in Romania (European Union). These Terms of Use (the "Terms") form a binding agreement between you and Alkotech Labs and govern your access to and use of the Service. By creating an account, accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.</p>
        <p className="body">In these Terms, "you" or "user" means any person who accesses the Service, whether as a developer, a publisher or scout, or a visitor browsing without an account.</p>

        <h2>1. What IndieVertical Is</h2>
        <p className="body">IndieVertical is a discovery platform that connects independent game developers with publishers and scouts.</p>
        <ul>
          <li><strong>Developers</strong> can create a single project page for an in-development game, including its title, description, development status, key art and images, deal details, contact details, and visibility settings.</li>
          <li><strong>Publishers and scouts</strong> can browse project pages and, with a free account, save games to a private shortlist and send messages to developers through an on-site inbox.</li>
          <li><strong>Browsing</strong> the Site is possible without an account. Creating an account is free.</li>
        </ul>
        <p className="body">IndieVertical is an information and discovery tool only. We provide a venue where developers and publishers can find and contact each other. We are not a party to, and take no role in, any negotiation, agreement, or transaction between users. See Section 9 (No Brokering; No Verification; Do Your Own Due Diligence).</p>

        <h2>2. Eligibility and Age</h2>
        <p className="body">The Service is a professional, business-oriented tool and is not directed at children. To use the Service, you must be at least 16 years old. By using the Service, you represent and warrant that you are at least 16 and have the legal capacity to enter into these Terms. If you use the Service on behalf of a company or other organisation, you represent that you are authorised to bind that entity to these Terms, and "you" includes that entity.</p>

        <h2>3. Accounts and Account Security</h2>
        <p className="body">You do not need an account to browse the Site, but you must register for a free account to create a project page, save games to a shortlist, or send and receive messages.</p>
        <p className="body">When you register, you must provide accurate and complete information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials; for all activity that occurs under your account; and for notifying us promptly at <a href="mailto:contact@indievertical.com">contact@indievertical.com</a> if you suspect any unauthorised access to or use of your account.</p>
        <p className="body">You may not share your account, sell or transfer it, or allow others to use it. We are not liable for any loss arising from your failure to keep your credentials secure. We may refuse registration, or reclaim usernames, where reasonably necessary.</p>

        <h2>4. Acceptable Use</h2>
        <p className="body">You agree to use the Service lawfully and respectfully. In particular, you must not:</p>
        <ul>
          <li>provide false, misleading, or inaccurate information, including about yourself, your identity, your organisation, a project, or a deal;</li>
          <li>impersonate any person or entity, or misrepresent your affiliation with any person or entity;</li>
          <li>scrape, crawl, harvest, or otherwise collect data from the Service by automated means, or systematically extract content, except as expressly permitted by us in writing;</li>
          <li>use bots, scripts, or other automated tools to access, interact with, or create accounts or content on the Service;</li>
          <li>post, upload, transmit, or link to content that is unlawful, infringing, defamatory, obscene, harassing, hateful, threatening, deceptive, or otherwise harmful;</li>
          <li>infringe the intellectual property, privacy, publicity, or other rights of any person;</li>
          <li>upload or transmit viruses, malware, or any other malicious or harmful code;</li>
          <li>attempt to gain unauthorised access to the Service, other users' accounts, or any systems or networks connected to the Service;</li>
          <li>interfere with, disrupt, overload, or impair the integrity or performance of the Service, or circumvent any security or access-control measures; or</li>
          <li>use the Service for any unlawful purpose or in any way that violates these Terms or applicable law.</li>
        </ul>

        <h2>5. User Content and Licence</h2>
        <p className="body">"User Content" means any content you submit to or through the Service, including project titles, descriptions, status and deal details, contact information, visibility settings, uploaded images, and messages.</p>
        <p className="body"><strong>You retain ownership of your User Content.</strong> You are solely responsible for your User Content and for ensuring you have all rights necessary to submit it.</p>
        <p className="body">By submitting User Content, you grant Alkotech Labs a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for technical purposes such as formatting and resizing), publish, and display that User Content for the purpose of operating, providing, and promoting the Service, in accordance with your visibility settings and our Privacy Policy. This licence exists only so that we can run the Service; it ends when you delete the relevant User Content or your account, except that (a) we may retain residual copies for a limited period in routine backups, and (b) content you have shared with other users (such as messages) may remain accessible to those users.</p>
        <p className="body"><strong>You represent and warrant</strong> that you own or have all necessary rights, licences, and permissions to your User Content, that it is accurate and not misleading, and that its submission and use as contemplated by these Terms does not and will not infringe or violate the rights of any third party or any applicable law. You are responsible for keeping your own copies of your User Content; the Service is not a storage or backup service.</p>

        <h2>6. Content Moderation and Removal</h2>
        <p className="body">We are not obligated to monitor User Content, but we may review it. We may, at our reasonable discretion and without prior notice, remove, disable, restrict the visibility of, or refuse to display any User Content, and suspend or terminate any account, where we reasonably believe the content or conduct violates these Terms, infringes the rights of others, is unlawful, or is otherwise harmful to the Service or its users. Where reasonable and lawful, we will aim to give you notice of, and the reason for, any such action, and you may contact us at <a href="mailto:contact@indievertical.com">contact@indievertical.com</a> to query or appeal a decision.</p>

        <h2>7. Messaging and Inbox</h2>
        <p className="body">Publishers and scouts with an account can contact developers through the on-site inbox, and developers can reply. Messages are stored on the Service so the conversation is available to its participants.</p>
        <p className="body">When using the messaging feature, you must not:</p>
        <ul>
          <li>send spam, bulk, or unsolicited promotional messages unrelated to the recipient's project;</li>
          <li>send harassing, abusive, threatening, deceptive, fraudulent, or otherwise unlawful messages;</li>
          <li>send malware, phishing links, or attempts to obtain credentials or payment by deception; or</li>
          <li>use messages to circumvent these Terms or to harvest contact details for purposes unrelated to the Service.</li>
        </ul>
        <p className="body">Messages are between the participating users. We do not routinely monitor message content, but we may access and review messages where reasonably necessary to operate the Service, ensure compliance with these Terms, respond to reports, or comply with law. Treat the inbox as a professional channel and exercise the same caution you would with any unsolicited business contact.</p>

        <h2>8. Promoted Placements</h2>
        <p className="body">We may offer paid promotional placements ("Promoted"), which surface a game in more prominent positions on the Service. Promoted items are always clearly labelled. Promotion affects placement only and does not change a project page's content or give any item preferential treatment beyond positioning. Any specific pricing, billing, and cancellation terms are presented to you at the point of purchase before you commit. Editorial features known as "Editor's Picks" are selected by the IndieVertical team, are free, and require no application or payment.</p>

        <h2>9. No Brokering; No Verification; Do Your Own Due Diligence</h2>
        <p className="body">IndieVertical is a discovery platform only. To be clear:</p>
        <ul>
          <li>We <strong>do not broker deals</strong> and are not a party to any agreement, negotiation, or transaction between users.</li>
          <li>We <strong>do not represent</strong> any developer, publisher, scout, or other user, and we are not an agent, advisor, or fiduciary of any user.</li>
          <li>We <strong>take no commission or cut</strong> of any deal arranged through or after contact made on the Service.</li>
          <li>We <strong>do not verify, vet, endorse, or guarantee</strong> any user, including the identity, legitimacy, solvency, track record, or intentions of any publisher, scout, or developer, or the accuracy of any project, deal detail, or statement.</li>
        </ul>
        <p className="body"><strong>Any deal, agreement, or dealing between users is entirely between those users.</strong> You are solely responsible for conducting your own due diligence, verifying the identity and reliability of anyone you deal with, and negotiating and documenting your own terms (including obtaining independent legal advice where appropriate). We are not responsible or liable for the conduct of any user, the performance or non-performance of any deal, or any loss arising from your dealings with other users.</p>

        <h2>10. Intellectual Property in the Service</h2>
        <p className="body">The Service itself — including its software, design, layout, text, graphics, logos, the "IndieVertical" name and branding, and all other materials we provide (excluding User Content) — is owned by Alkotech Labs or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose, in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Service, or use our branding, except as expressly permitted by us in writing or by applicable law.</p>

        <h2>11. Third-Party Links and Parties</h2>
        <p className="body">The Service may contain links to third-party websites or resources, and may display contact or deal details that lead you to interact with third parties off the Service. We provide these for convenience only and do not control, endorse, or assume responsibility for any third-party site, resource, content, or party. Your use of and dealings with any third party are at your own risk and subject to that third party's terms.</p>

        <h2>12. Disclaimer of Warranties</h2>
        <p className="body">To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Service will be uninterrupted, secure, error-free, or available at any particular time; that any content or information (including User Content) is accurate, complete, or reliable; or that data you submit will be retained, backed up, or recoverable. We do not guarantee any uptime, results, deals, responses, or outcomes from using the Service.</p>
        <p className="body">Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot be excluded or limited under applicable law, including the mandatory consumer-protection rights of users who are consumers in the European Union.</p>

        <h2>13. Limitation of Liability</h2>
        <p className="body">To the fullest extent permitted by applicable law:</p>
        <ul>
          <li>We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, business, or opportunity, arising out of or relating to your use of (or inability to use) the Service or any dealings with other users.</li>
          <li>We will not be liable for the conduct, content, or omissions of any user or third party, or for any deal or transaction between users.</li>
          <li>Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amounts you paid us, if any, in the twelve (12) months before the event giving rise to the liability, or (b) EUR 100.</li>
        </ul>
        <p className="body">Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer in the European Union, these limitations apply only to the extent permitted by the mandatory consumer-protection laws of your country of residence, and they do not affect your statutory rights.</p>

        <h2>14. Indemnity</h2>
        <p className="body">To the extent permitted by applicable law, you agree to indemnify and hold harmless Alkotech Labs from and against reasonable third-party claims, damages, and costs (including reasonable legal fees) that arise directly from your breach of these Terms, your User Content, or your unlawful use of the Service or unlawful dealings with other users. This obligation does not apply to the extent the claim arises from our own breach, negligence, or wrongdoing, and — if you are a consumer — it applies only to the extent consistent with mandatory consumer-protection law. We will notify you of any claim and will not settle it in a way that imposes obligations on you without your consent (not to be unreasonably withheld).</p>

        <h2>15. Suspension and Termination</h2>
        <p className="body">You may stop using the Service at any time and may delete your account through the Service or by contacting us at <a href="mailto:contact@indievertical.com">contact@indievertical.com</a>.</p>
        <p className="body">We may suspend or terminate your access to all or part of the Service, with or without notice, if you breach these Terms or applicable law, if your use poses a risk to the Service or other users, or if we are required to do so by law. Where reasonable and lawful, we will give you notice. We may also discontinue the Service, in whole or in part, as described in Section 16.</p>
        <p className="body">On termination, your licence to use the Service ends. Sections that by their nature should survive (including Sections 5, 9, 10, and 12–18) will survive termination. Handling of your personal data following account closure is described in our <a href="#/privacy">Privacy Policy</a>.</p>

        <h2>16. Changes to the Service and to These Terms</h2>
        <p className="body">We are continually improving the Service and may add, change, suspend, or discontinue features (including Promoted and Editor's Picks) at any time. We will try not to make material reductions to core functionality without reasonable notice where practicable.</p>
        <p className="body">We may update these Terms from time to time, for example to reflect changes to the Service or for legal reasons. If we make material changes, we will take reasonable steps to notify you, such as by posting a notice on the Site or, where appropriate, contacting you. We will update the "Effective date" above. Changes take effect when posted (or on any later date we specify). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you should stop using the Service and may close your account.</p>

        <h2>17. Governing Law and Jurisdiction</h2>
        <p className="body">These Terms and any dispute or claim arising out of or relating to them or the Service are governed by the laws of Romania, without regard to conflict-of-laws rules. The competent courts of Romania will have jurisdiction over any dispute.</p>
        <p className="body">If you are a consumer resident in the European Union, this choice of law and jurisdiction does not deprive you of the protection afforded by the mandatory provisions of the consumer-protection laws of your country of residence, and you may also bring proceedings in, and benefit from the mandatory rights of, that country. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.</p>

        <h2>2. Personal Data We Collect</h2>
        <p className="body">We collect the following categories of personal data:</p>

          <li><strong>Account data:</strong> your email address and password. Passwords are stored in hashed and secured form; we cannot read your password in plain text.</li>
          <li><strong>Profile and project content:</strong> the information you put into a project page, including title, description, development status, deal details, contact details, visibility settings, and any other text you provide.</li>
          <li><strong>Images:</strong> key art and other images you upload.</li>
          <li><strong>Messages:</strong> messages you send to and receive from other users through the on-site inbox, including their content and metadata (such as sender, recipient, and timestamp).</li>
          <li><strong>Technical and usage data:</strong> information generated automatically when you use the Service, such as your IP address, device and browser information, and server log data (for example, pages requested, dates and times of access, and similar diagnostic information).</li>
          <li><strong>Local storage data:</strong> information stored in your browser's local storage to keep you signed in and remember your preferences (see Section 10).</li>
        </ul>
        <p className="body"><strong>Sources.</strong> Most of this data comes directly from you when you register, create or edit a project page, upload images, or send messages. Technical and usage data is generated automatically through your interaction with the Service. If another user sends you a message, we receive the content they choose to send.</p>

        <h2>3. Purposes of Processing and Legal Bases</h2>
        <p className="body">We process your personal data for the following purposes, on the following GDPR legal bases:</p>

        <p className="body">Where we rely on legitimate interests, we balance those interests against your rights and freedoms; you may object as described in Section 9. Where we rely on consent, you may withdraw it at any time without affecting prior processing.</p>

        <h2>4. Visibility Settings and What Becomes Public</h2>
        <p className="body">You control how the fields on your project page are shown using the visibility setting for each field. There are three options:</p>
        <ul>
          <li><strong>Public</strong> — the field is visible to anyone, including logged-out visitors and, potentially, search engines and others who can reach the page. Treat anything set to public as published to the world.</li>
          <li><strong>Publisher accounts only</strong> — the field is visible only to logged-in publisher/scout accounts on the Service, not to logged-out visitors.</li>
          <li><strong>Blank (not set)</strong> — the field is not shown to anyone.</li>
        </ul>
        <p className="body"><strong>Please choose carefully.</strong> Any personal data you place in a field set to "public" — for example contact details — will be publicly accessible, and once public it may be viewed, copied, or cached by others outside our control. Only include personal or sensitive details that you are comfortable sharing at the visibility level you select. Messages you send through the inbox are shared with the recipient you choose.</p>

        <h2>5. Disclosure to Third Parties and Processors</h2>
        <p className="body">We do not sell your personal data and we do not share it for cross-context behavioural advertising. We disclose personal data only as follows:</p>
        <ul>
          <li><strong>Other users</strong>, according to your visibility settings (project content) and your actions (messages you send). This is how the Service works.</li>
          <li><strong>Service providers (processors)</strong> who process data on our behalf under contract and only on our instructions, including hosting and infrastructure providers that host the Service and store its data, and a payment processor that handles payments for Promoted placements.</li>
          <li><strong>Legal and protection:</strong> authorities, advisers, or other parties where reasonably necessary to comply with the law, respond to lawful requests, enforce our Terms, or protect the rights, safety, and security of Alkotech Labs, our users, or the public.</li>
          <li><strong>Business transfers:</strong> if Alkotech Labs is involved in a merger, acquisition, or sale of assets, personal data may be transferred as part of that transaction, subject to this Policy and applicable law.</li>
        </ul>
        <p className="body">We require our processors to provide appropriate safeguards and to process personal data only as needed to provide their services to us.</p>

        <h2>6. International Transfers</h2>
        <p className="body">Alkotech Labs operates in Romania, within the European Economic Area ("EEA"), and we aim to keep personal data within the EEA. Some of our processors (such as hosting or payment providers) may process data outside the EEA. Where personal data is transferred outside the EEA, we ensure an appropriate safeguard is in place, such as a European Commission adequacy decision for the destination country, or the European Commission's Standard Contractual Clauses, together with any additional measures required to protect your data. You may contact us for more information about the safeguards we use.</p>

        <h2>7. Data Retention</h2>
        <p className="body">We keep personal data only for as long as necessary for the purposes described in this Policy:</p>
        <ul>
          <li><strong>Account, profile, project, image, and message data</strong> is retained while your account is active.</li>
          <li><strong>If you ask us to delete your account or your personal data</strong>, we will delete it (or anonymise it) within 30 days of your verified request, except where we are required or permitted by law to retain certain data (for example, records needed to comply with legal, accounting, or tax obligations, or to establish, exercise, or defend legal claims). Residual copies in routine backups are deleted on our regular backup cycle.</li>
          <li><strong>Technical and log data</strong> is retained for a limited period for security and diagnostic purposes and then deleted or anonymised.</li>
          <li>Content you have shared with other users (such as messages) may remain visible to those recipients even after you delete your copy or account.</li>
        </ul>

        <h2>8. Security</h2>
        <p className="body">We take appropriate technical and organisational measures to protect personal data against unauthorised access, loss, misuse, or alteration. These include storing passwords using hashing, restricting access to personal data on a need-to-know basis, and relying on infrastructure providers that maintain industry-standard security controls. No method of transmission or storage is completely secure, so we cannot guarantee absolute security; you also play an important role by keeping your password confidential and your account secure.</p>

        <h2>9. Your GDPR Rights</h2>
        <p className="body">If you are in the EEA, you have the following rights regarding your personal data, which you can exercise by contacting us at <a href="mailto:contact@indievertical.com">contact@indievertical.com</a>:</p>
        <ul>
          <li><strong>Access</strong> — obtain confirmation of whether we process your data and a copy of it.</li>
          <li><strong>Rectification</strong> — have inaccurate or incomplete data corrected (you can also edit much of your data directly in the Service).</li>
          <li><strong>Erasure</strong> — have your data deleted in the circumstances provided by law ("right to be forgotten").</li>
          <li><strong>Restriction</strong> — ask us to restrict processing in certain circumstances.</li>
          <li><strong>Portability</strong> — receive certain data you provided in a structured, commonly used, machine-readable format, and have it transmitted to another controller where technically feasible.</li>
          <li><strong>Objection</strong> — object to processing based on our legitimate interests, on grounds relating to your particular situation.</li>
          <li><strong>Withdraw consent</strong> — where we rely on consent, withdraw it at any time, without affecting processing carried out before withdrawal.</li>
        </ul>
        <p className="body">We will respond to your request within the time limits set by the GDPR (generally within one month). You will not have to pay a fee unless your request is manifestly unfounded or excessive.</p>
        <p className="body"><strong>Right to lodge a complaint.</strong> You have the right to lodge a complaint with a supervisory authority. In Romania, this is the National Supervisory Authority for Personal Data Processing (ANSPDCP / Autoritatea Națională de Supraveghere a Prelucrării Datelor cu Caracter Personal), dataprotection.ro. You may also lodge a complaint with the supervisory authority in your country of residence or place of the alleged infringement. We would, however, appreciate the chance to address your concerns first.</p>

        <h2>10. Cookies and Local Storage</h2>
        <p className="body">The Service uses functional browser local storage only. We use local storage to keep you signed in and to remember your preferences. This is necessary to provide the features you request.</p>
